2. User Accounts & Access

To access certain features of ERPlingo, users may be required to create an account. By registering, you agree to provide accurate, complete, and up-to-date information. You are responsible for maintaining the security of your account and ensuring its proper use.

2.1 Account Registration

  • Users must provide truthful and current information during the registration process.
  • ERPlingo reserves the right to suspend or terminate accounts containing false, misleading, or outdated information.

2.2 Account Security

  • Users are responsible for safeguarding their login credentials and preventing unauthorized access.
  • Any activity conducted under an account is the sole responsibility of the account holder.
  • If you suspect unauthorized access or a security breach, you must notify ERPlingo immediately at info@erplingo.com.

2.3 Non-Transferability

  • Accounts are personal and non-transferable. They may not be shared, sold, or assigned to another individual or entity.
  • Business and enterprise accounts may allow multiple authorized users, subject to the terms outlined in Section 6: Enterprise & Business Accounts.

2.4 Account Suspension & Termination

  • ERPlingo reserves the right to suspend or terminate accounts that:
    • Violate these Terms & conditons.
    • Engage in fraudulent, abusive, or unauthorized activities.
    • Compromise the security or integrity of ERPlingo’s services.

3. Subscription Plans & Payments

ERPlingo offers both free and paid subscription plans, each with specific features and usage limits. By subscribing to a paid plan, you agree to the billing and payment terms outlined in this section.

3.1 Billing & Payment Terms

  • Paid subscriptions are billed on a recurring basis (monthly or annually) using the payment method provided at the time of subscription.
  • Users must ensure that their payment information is accurate and up to date to avoid service interruptions
  • Subscription fees are non-refundable, except as explicitly stated in ERPlingo’s refund policy.

3.2 Automatic Renewals & Cancellations

  • All paid subscriptions automatically renew at the end of each billing cycle unless canceled before the renewal date.
  • Users may cancel their subscriptions at any time through their account settings or by contacting info@erplingo.com.
  • Canceled subscriptions remain active until the end of the current billing period, after which access to paid features will be revoked.

3.3 Refund Policy

  • Refunds are only issued under circumstances explicitly stated in ERPlingo’s refund policy.
  • Refund requests must be submitted to info@erplingo.com and are subject to review.

3.4 Subscription Restrictions

  • Paid subscriptions are for individual use only, unless explicitly designated as an enterprise or team subscription.
  • Sharing, reselling, or redistributing access to ERPlingo’s paid services is strictly prohibited.
  • ERPlingo reserves the right to suspend or terminate accounts found in violation of these subscription terms.

4. Permitted & Prohibited Uses

ERPlingo’s services are designed to support SAP learning, troubleshooting, and consulting. Users must adhere to acceptable use practices to ensure compliance with these Terms.

4.1 Permitted Uses

Users may:

  • Access ERPlingo’s tools and resources for personal or business-related SAP learning and troubleshooting.
  • Utilize AI-generated insights for understanding SAP concepts, resolving errors, and enhancing workflows.
  • Incorporate ERPlingo’s recommendations into SAP learning, decision-making, and operational improvements, provided they comply with these Terms.

4.2 Prohibited Activities

To protect ERPlingo’s platform and intellectual property, the following activities are strictly prohibited:

  • Reverse Engineering – Attempting to deconstruct, alter, or tamper with ERPlingo’s AI models, algorithms, or any underlying technology.
  • Unauthorized Data Extraction – Using automated tools, bots, or scripts to scrape, extract, or mine data from ERPlingo’s platform without explicit authorization.
  • Unauthorized Distribution – Sharing, selling, sublicensing, or redistributing ERPlingo’s proprietary content, AI-generated responses, or tools without written consent.
  • Fraudulent or Illegal Activity – Using ERPlingo to generate, distribute, or facilitate fraudulent, misleading, or illegal content or transactions.
  • Overloading the System – Deliberately overloading ERPlingo’s servers, attempting to disrupt service availability, or engaging in any activity that degrades system performance.
  • Impersonation – Misrepresenting yourself as ERPlingo, its representatives, or another user for any deceptive purpose.

4.3 Consequences of Violating Usage Policies

Violations of these Terms may result in the following actions, at ERPlingo’s sole discretion:

  • Immediate suspension or termination of your account without prior notice.
  • Permanent restriction from accessing ERPlingo’s services.
  • Legal action, including claims for damages or injunctive relief.

5. Intellectual Property Rights

ERPlingo’s platform, tools, AI models, and all related content are protected under intellectual property laws. Users are granted limited rights to access and use ERPlingo’s services, but these rights do not extend to ownership or unrestricted use of ERPlingo’s intellectual property.

5.1 Ownership

  • All content, software, algorithms, AI models, text, and proprietary technology available through ERPlingo are the exclusive property of ERPlingo and its licensors.
  • ERPlingo’s intellectual property is protected by copyright, trademark, and other applicable laws.

5.2 License to Use

5.4 Trademarks & Branding

  • The ERPlingo name, logo, and brand elements are trademarks owned by ERPlingo.
  • Users may not use ERPlingo’s trademarks, logos, or branding in any way that implies endorsement, affiliation, or sponsorship without prior written consent.

6. Enterprise & Business Accounts

Enterprise accounts are designed for organizations that require multiple user access, team management capabilities, and enhanced service features. By registering for an enterprise account, the organization and its authorized users agree to the additional terms outlined in this section.

6.1 Applicability

  • Enterprise accounts are intended for businesses, organizations, and teams that require centralized management of multiple users.
  • The organization is responsible for ensuring that all authorized users comply with these Terms.

6.2 Admin Roles & Responsibilities

  • Enterprise accounts may designate one or more administrators (“Admins”) who can:
    • Manage team subscriptions and user.
    • Monitor usage and generate reports.
    • Adjust account settings and permissions for authorized users.
  • ERPlingo is not responsible for any misuse, unauthorized actions, or violations of these Terms by an enterprise account’s authorized users.

6.3 Exclusive Enterprise Features

Enterprise accounts may include additional features, such as:

  • Advanced analytics and reporting tools
  • API access for integrating ERPlingo with internal systems
  • Priority customer support and onboarding assistance
  • Enterprise-only support applications and tools

The availability of enterprise features may depend on the specific enterprise plan selected and ERPlingo’s ongoing service updates.

6.4 Service Modifications

  • ERPlingo reserves the right to modify, discontinue, or enhance enterprise features at any time.
  • When feasible, ERPlingo will provide advance notice to Admins regarding significant changes to enterprise account services.

7. AI Usage & Limitations

ERPlingo utilizes artificial intelligence to generate responses for SAP-related inquiries. While AI-powered insights can be valuable, users must understand the limitations of AI-generated content and exercise their own judgment when relying on ERPlingo’s services.

7.1 Advisory Nature of AI Responses

  • ERPlingo’s AI-generated responses are provided for informational and advisory purposes only.
  • Responses should not be considered definitive technical, legal, financial, or business advice.
  • Users are responsible for evaluating whether AI-generated recommendations are appropriate for their specific SAP configurations and business needs.

7.2 Accuracy & User Responsibility

  • The accuracy and relevance of AI-generated responses depend on the quality and completeness of the user’s input.
  • Liability Cap: If ERPlingo is found liable for any claim, its total liability shall not exceed the total amount paid by the user in the 12 months preceding the claim.
  • Users must independently verify critical information before making decisions based on AI-generated content.

7.3 Limitation of Liability

  • ERPlingo is not liable for any business, operational, financial, or legal decisions made based on AI-generated responses.
  • Users assume all risks associated with using ERPlingo’s AI-generated recommendations.

7.4 ABAP Coding Disclaimer

  • ERPlingo can provide general explanations of ABAP concepts, best practices, and logic.
  • ERPlingo does not write, debug, or verify ABAP code, nor does it guarantee compliance with SAP development standards.
  • For ABAP development assistance, users should consult qualified ABAP professionals.

8. Privacy & Data Usage

ERPlingo collects and processes user data in accordance with its Privacy Policy. By using ERPlingo, users acknowledge and consent to the processing of their data as described in that policy.

8.1 Data Collection and Processing

  • ERPlingo is not responsible for any consequences resulting from users voluntarily sharing sensitive data.

9. Fair Use & Abuse Prevention

ERPlingo enforces a Reasonable Use Policy to ensure fair access to its services for all users. Excessive or abusive usage may result in limitations or account suspension.

  • Bypassing Subscription Limits – Attempting to circumvent usage limits imposed by ERPlingo’s subscription plans.
  • VPN & Proxy Abuse – Using VPNs, proxy servers, or other methods to manipulate access rights or avoid regional restrictions.

9.3 Enforcement Actions

  • ERPlingo reserves the right to suspend, limit, or terminate accounts engaged in abusive or excessive usage.
  • Restrictions may be applied without prior notice to protect service availability for all users.
  • Repeated violations may result in permanent loss of access to ERPlingo’s services.

10. Modifications & Termination

ERPlingo reserves the right to update, modify, or discontinue its services, features, and pricing at any time. Additionally, ERPlingo may suspend or terminate accounts under certain conditions.

  • ERPlingo may introduce, modify, or remove features, functionalities, or services as part of ongoing improvements.
  • Changes may occur without prior notice, although reasonable efforts will be made to inform users of significant modifications.

10.2 Discontinuation of Paid Services

  • If ERPlingo permanently discontinues a paid service, users with active subscriptions may be eligible for a pro-rated refund based on the unused portion of their subscription.
  • Refund eligibility will be determined on a case-by-case basis and is subject to ERPlingo’s refund policy.

10.3 Account Suspension & Termination

ERPlingo may suspend or terminate accounts that:

  • Violate these Terms & Conditions.
  • Engage in fraudulent, abusive, or unauthorized activities.
  • Pose security, legal, or operational risks to ERPlingo or its users.

Effects of Account Termination:

  • Users whose accounts are terminated due to violations will not be eligible for refunds.
  • ERPlingo reserves the right to deny future access to users who have been previously suspended or terminated for violations.

11. Disclaimers & Liability Limitations

ERPlingo provides its services on an "as is" and "as available" basis. While ERPlingo strives to offer accurate and reliable AI-generated responses, no guarantees or warranties are provided regarding the service’s accuracy, availability, or fitness for a particular purpose.

11.1 No Warranties

  • ERPlingo makes no express or implied warranties, including but not limited to:
    • The accuracy, completeness, reliability, or timeliness of AI-generated responses.
    • The uninterrupted, error-free, or always-available nature of the services.
    • The suitability of ERPlingo’s services for a specific business or technical purpose.

11.2 Service Availability & Interruptions

  • ERPlingo does not guarantee continuous or error-free operation of its services.
  • Temporary outages, system failures, or maintenance periods may occur without prior notice.
  • ERPlingo is not liable for any loss of data, service interruptions, or delays arising from technical or external factors.

11.3 Limitation of Liability

  • To the maximum extent permitted by law, ERPlingo shall not be liable for:
    • Any direct, indirect, incidental, special, or consequential damages, including but not limited to loss of business, revenue, profits, data, or reputation.
    • Any business, financial, or operational decisions made based on AI-generated responses.
    • Any third-party actions, links, or content accessed through ERPlingo’s platform.
  • Liability Cap: If ERPlingo is found liable for any claim, its total liability shall not exceed the total amount paid by the user in the 12 months preceding the claim.

Some jurisdictions may not allow certain liability exclusions, and in such cases, ERPlingo’s liability shall be limited to the fullest extent permitted by applicable law.

12. Indemnification & Legal Compliance

Users agree to indemnify and hold ERPlingo harmless from any legal claims, damages, or liabilities resulting from misuse of the service. Additionally, users must comply with all applicable laws when using ERPlingo’s platform.

  • ERPlingo reserves the right to assume exclusive defense of any claim subject to indemnification, at the user’s expense.

  • ERPlingo’s services may be subject to export control laws and restrictions, including those governing AI-related technologies. Users are responsible for ensuring compliance with such regulations.
  • ERPlingo is not responsible for any legal consequences arising from a user’s failure to adhere to relevant laws or regulations

14. Governing Law & Dispute Resolution

These Terms & Conditions are governed by the laws of the State of New York, USA. Any disputes arising from or related to ERPlingo’s services shall be resolved through negotiation, arbitration, or legal proceedings as outlined below.

  • These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the State of New York, USA, without regard to conflict of law principles.

14.2 Dispute Resolution Process

  • In the event of a dispute, users agree to first attempt to resolve the issue through good-faith negotiation with ERPlingo.
  • If the dispute cannot be resolved through negotiation within a reasonable timeframe, it may be submitted to binding arbitration in New York, in accordance with applicable arbitration rules.
  • The arbitration decision shall be final and binding on both parties.
14.3 Legal Proceedings

  • If arbitration is not required or does not resolve the dispute, legal claims must be brought exclusively in the courts of New York, USA.
  • Users expressly consent to the jurisdiction and venue of these courts for any legal proceedings related to these Terms.
